WApopup.com is owned and operated by WApopup (referred to as “WApopup,” “we,” “us,” or “our”). Please read these Terms and Conditions (“Terms”) carefully before using our Software as a Service (SaaS) platform available at WApopup.com (the “Service”). These Terms govern your access to and use of the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
WApopup provides a SaaS platform that allows our customers to create, edit, store, analyze, and send message notifications to their customers using WhatsApp's Cloud API. A “Customer” is an entity with whom WApopup has an agreement to provide the Service.

This Agreement between the Customer and WApopup is entered into on the date the Customer signs up for an account through WApopup.com website.
By registering for a WApopup.com account, you acknowledge your understanding of these terms and enter the Agreement on behalf of the Customer. Please ensure you have the necessary authority to enter into the Agreement on behalf of the Customer before proceeding.
If a Customer violates any of the terms outlined below, we reserve the right to cancel accounts or bar access to accounts without notice. If you do not agree to these terms, please do not use our Services. WApopup may remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violate any party’s intellectual property or these Terms. WApopup may refuse service to anyone for any reason at any time.
By using any element of WApopup.com, including the website, Customer acknowledges that they have read, accept, and agree to be bound by and comply with the Terms and Conditions set out in this Agreement, as amended from time to time. If Customer does not accept and agree to be bound by this Agreement, Customer will immediately cease any further use of WApopup.com, including any part thereof.
We do not sell or rent your personal information to third parties. The information we collect is used solely for the purpose of providing and improving our services, communicating with you, and ensuring the security of our website.
Customers are responsible for their accounts' activities and communications. They must comply with this Agreement, any guidelines, and policies published by WApopup from time to time.
Customers must not use WApopup.com to send, upload, collect, transmit, store, use, disclose, or process any content that violates our Terms.
Customers must adhere to all WhatsApp terms, including WhatsApp Business Policy and WhatsApp Commerce Policy. Any violation of these policies may lead to suspension of the number by WhatsApp, and WApopup shall not be held responsible for any such violations.
WApopup provides technical support via email and website chat widget during specified hours. Please refer to our website for support hours.
Customers are responsible for paying the applicable fees for the Service. WApopup reserves the right to modify fees with notice.
WApopup does not charge for messaging. Any charges associated with WhatsApp Cloud API usage are billed directly by WhatsApp.
WhatsApp Cloud API Fees: It's important to note that the Fees on WApopup.com do not cover any charges incurred for using the WhatsApp Cloud API. Customers are directly responsible for such charges, payable to WhatsApp via their billing portal (business.facebook.com).
WApopup will charge and invoice Customers for applicable Fees based on our pricing schedule. These charges will be processed in advance via credit card on the Effective Date and subsequently on each anniversary thereafter. Subscription Fees are prepaid, and all payments are nonrefundable.
Refunds and Credits: No refunds or credits will be issued for partial months of service, upgrade/downgrade refunds, or unused months with an open account. To ensure fairness, no exceptions will be made.
Set-Off and Withholding Rights: Customer acknowledges and waives any set-off or withholding rights concerning payment obligations.
Disputed Invoices or Charges: If a Customer disputes any part of a WApopup invoice or charge in good faith, they must provide written documentation substantiating the dispute within fifteen (15) days of receiving the invoice. Failure to do so within this timeframe will be considered a waiver of the right to dispute.
Late Payment: Except for bona fide disputed amounts, failure to make payments of Fees or taxes as required permits WApopup to suspend access to Services until payment is received. Additionally, a monthly charge, compounded at 1.5% per month or the maximum rate allowed by law (whichever is lower) will be applied to past due amounts.
Account Cancellation: Cancelling your Account will result in deactivation or deletion, forfeiting all Content within the Account. Once canceled, this information cannot be recovered from WApopup.
WApopup’s total aggregate liability in connection with or under this Agreement shall not exceed the fees paid by the Customer in the prior 12-month period.
WApopup shall not be liable for any indirect, incidental, consequential, or special damages arising out of or relating to this Agreement.
This Agreement shall commence on the Effective Date and continue until terminated.
WApopup reserves the right to suspend Services for non-payment or breach of terms. Termination may result in deactivation or deletion of Customer Accounts.
